1. Acceptance

These Terms & Conditions ("Terms") govern your use of vytalixholdings.com ("Site") and any services provided by Vytalix Holdings LLC ("Vytalix," "we," "us," "our"). By using the Site or submitting any form on the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. Services

Vytalix is an AI infrastructure agency based in San Antonio, Texas. We design, build, and operate custom AI systems for small and mid-market businesses. Specific scope, deliverables, pricing, and timelines for each engagement are defined in a separate written agreement (Statement of Work or signed proposal) between Vytalix and the client.

3. Communications and SMS

By submitting your phone number through any form on the Site or by booking a discovery call, you consent to receive transactional and service-related SMS messages from Vytalix at the number provided. Messages may include meeting confirmations, project updates, invoicing reminders, and customer support follow-ups.

Message frequency: Variable, typically 0–10 per month. Message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for assistance.

We will not share your mobile number with third parties for marketing purposes. See our Privacy Policy for full SMS disclosures.

4. Acceptable use

You agree not to use the Site or any communication channel we provide to:

  • Violate any applicable law or regulation.
  • Impersonate any person or misrepresent your affiliation with any entity.
  • Send unsolicited or unauthorized advertising, promotional material, or spam.
  • Upload or transmit any code or content designed to interfere with or damage our systems or those of our service providers.
  • Attempt to gain unauthorized access to any portion of the Site or its underlying infrastructure.

5. Intellectual property

All content on the Site — including text, graphics, logos, code, and design — is owned by Vytalix Holdings LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, or distribute Site content without our prior written permission.

Ownership of deliverables produced under a paid engagement (custom code, workflows, automations) is governed by the corresponding Statement of Work or proposal.

6. Payments

Invoices are issued via Stripe. Payment terms (net 7, net 30, etc.) are specified in your Statement of Work. Late payments may incur a 1.5% per month finance charge or the maximum allowed by Texas law, whichever is lower.

7. Disclaimers

The Site and any informational content on it are provided "AS IS" and "AS AVAILABLE." Vytalix makes no warranties, express or implied, regarding the accuracy, completeness, or fitness of the Site for any particular purpose. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses.

Service-specific warranties, if any, are set forth in the corresponding Statement of Work.

8. Limitation of liability

To the maximum extent permitted by law, Vytalix's aggregate liability for any claim arising out of the Site or services provided shall not exceed the total amount paid by you to Vytalix in the 12 months preceding the claim. In no event shall Vytalix be liable for indirect, incidental, special, consequential, or punitive damages.

9. Indemnification

You agree to indemnify and hold harmless Vytalix Holdings LLC, its officers, employees, and contractors from any third-party claim arising from your breach of these Terms or your misuse of the Site or services.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be brought in the state or federal courts located in Bexar County, Texas.

11. Changes to these Terms

We may revise these Terms from time to time. The "Last updated" date reflects the most recent revision. Your continued use of the Site after a revision constitutes acceptance of the updated Terms.
